These Terms & Conditions (the “Terms”) govern your use of Kryptik.NET (“Kryptik”, “we”, “our”) websites, products, pilot programs, and advisory services. By accessing Kryptik assets or signing a statement of work, you agree to these Terms.
1. Scope of services
Deliverables, milestones, and commercial terms are defined in each mutually executed statement of work, proposal, or order form (collectively, “SOW”). In the event of conflict, the SOW controls.
2. Accounts & security
- You are responsible for safeguarding credentials shared with your team.
- Notify Kryptik immediately of any unauthorized use or security incident.
- We may suspend access to protect infrastructure if malicious activity is detected.
3. Payments
Invoices are due within 15 days unless stated otherwise in the SOW. Late balances may incur a 1.5% monthly finance charge. Work can be paused for accounts that are more than 30 days past due.
4. Intellectual property
- Pre-existing IP from either party remains that party’s property.
- Custom work product transfers to the client upon full payment, unless the SOW states otherwise.
- Kryptik retains the right to reuse generalized know-how and non-identifying patterns.
5. Confidentiality
Both parties agree to protect non-public information marked or reasonably understood as confidential, and to use it only for fulfilling the engagement.
6. Warranties & disclaimers
Services are provided “as is.” Kryptik disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability of experimental environments.
7. Limitation of liability
Kryptik’s aggregate liability under these Terms will not exceed the fees paid to us during the six (6) months preceding the claim. We are not liable for consequential, incidental, or punitive damages.
8. Termination
- Either party may terminate an SOW for convenience with 30 days written notice.
- Either party may terminate immediately for material breach not cured within 10 days.
- Sections covering payment, confidentiality, IP, and liability survive termination.
9. Governing law
These Terms are governed by the laws of Switzerland. Disputes will be handled in the competent courts of Ticino, unless another venue is specified in the SOW.
